Please read these terms carefully. Each section starts with a short summary in plain English; the summary helps you read the section but the full text is what applies.
1. Who we are and accepting these terms
In shortThese terms are a binding contract between you and RunChatLab. By creating an account or using the service you accept them. The service is for adult creators running a business, and you must be at least 18.
RunChatLab (the Service) is provided by RunChatLab (RunChatLab, we, us). These Terms of Service (the Terms) govern your access to and use of the Service. You can reach us at support@runchatlab.com.
You accept these Terms when you create an account, tick an acceptance box, connect an account, or use the Service in any way. If you do not accept them, do not use the Service. If you use the Service on behalf of a business, you confirm that you are authorised to bind that business, and "you" includes it.
Business use only. The Service is a business tool for content creators. You use it in the course of your own business and not as a consumer.
Adults only. You must be at least 18 years old, and at least the age of majority where you live if that is higher. We may ask for proof of age and identity at any time and may suspend an account until it is provided.
Please read the section on disputes. It requires most disputes to be resolved by binding individual arbitration and waives class actions and jury trials.
2. What the Service does
In shortRunChatLab is software that writes and sends messages to your fans automatically, in your name and following your settings. Nobody at RunChatLab reads the messages before they go out. You stay in control and can switch it off at any time.
The Service lets you configure one or more AI chat agents (Agents) that, once you connect your creator account on a supported fan platform (a Supported Platform), read the direct messages your fans send you and write and send replies on your behalf. Depending on your settings, an Agent can:
- reply to fans, greet new subscribers and send follow up messages;
- offer and sell items that already exist in your gallery on the Supported Platform, at prices you set or approve;
- remember facts a fan has shared, so later conversations feel continuous;
- read photos and voice notes a fan sends, where you have switched that feature on.
Automatic sending. Messages are generated by artificial intelligence and sent automatically. No person at RunChatLab reads, approves or edits a message before it is sent. The only exception is a conversation the Service holds for your own review.
No custom content. The Service never creates, promises or sells custom content. It only offers items that already exist in your gallery.
Safeguards. The Service includes automated safety checks, described in our Safety protocol. For example, it stops selling and sexual conversation with a fan who appears to be under 18, and it sends a short caring message instead of an AI reply, and stops selling, when a fan appears to be in crisis. These checks are a tool, not a guarantee. They can miss things or trigger by mistake, and they do not reduce your own responsibility under these Terms.
You stay in control. You can pause any Agent, take over any conversation, and disconnect the Service from your Supported Platform account at any time. Features marked beta or preview may change or be withdrawn at any time.
Third parties. The Service depends on the Supported Platform and on third party AI model and hosting providers. RunChatLab is independent and is not affiliated with, endorsed by or acting for any Supported Platform. We are not responsible for the Supported Platform, its rules, its fees, its decisions about your account or its availability. Your relationship with it is governed by its own terms.
3. Your account
In shortGive us accurate details, keep your login safe, and do not share your account. You are responsible for everything that happens under it.
You must provide accurate and complete information and keep it up to date. You are responsible for keeping your login credentials confidential and for all activity under your account, including every message an Agent sends. Tell us at once at support@runchatlab.com if you suspect unauthorised access.
You may only connect creator accounts that you own or are authorised to operate. An account is personal to the creator it belongs to and may not be sold or transferred.
4. Fees and payment
In shortNo subscription. While connected we take 30% of each sale on your account. Your first 100 bot replies are free, after that $1 per 20,000 characters of bot replies. Everything is settled at your next withdrawal on the platform, and fees are not refundable.
Revenue share. While the Service is connected to your Supported Platform account, we are entitled to a fee of 30% of the gross amount of every sale made on that account, whether the sale was made by an Agent or by you. This fee is in addition to the Supported Platform's own fee. The exact split in force is shown to you, with a worked example, in the connection terms you accept before connecting.
Operating cost. Your first 100 bot replies are free, whatever their length. After that you pay $1 per 20,000 characters of text the Service sends to your fans (about 100 replies per dollar). Only text an Agent sends to fans counts: replies, follow ups, proactive messages and campaign text written by the Service. Text you write yourself, the fixed crisis safety message and test replies in your dashboard are free.
Settlement. Fees are settled from your earnings at your next withdrawal on the Supported Platform. There is no subscription and no automatic card charge. Amounts are rounded to the cent at settlement. Your dashboard shows usage and amounts due.
Taxes. Fees are stated exclusive of taxes. You are responsible for all taxes on your earnings, and for any taxes on our fees that the law places on you.
No refunds. Fees are earned when the usage or sale occurs and are not refundable, except where we made a billing error, which we will correct. If you think an amount is wrong, you must tell us within 60 days of the settlement; after that the amount is final. Reversing or disputing a fee you authorised, through the Supported Platform or otherwise, is a breach of these Terms.
Price changes. We may change our prices with at least 14 days notice by email or in the dashboard. A change never applies to usage before it takes effect. If you do not agree, you may disconnect before the change takes effect.
5. You are responsible for your messages and your business
In shortEvery message sent through your account, including the ones the AI writes, is your message. You alone are responsible for following the law and the platform rules, for telling fans about AI where the law requires it, for fan consent, and for your prices and refunds.
Your messages. You are the sender of every message sent through your account, whether you wrote it or an Agent generated it. You are solely responsible for all such messages and their consequences, for the settings and instructions you give an Agent, for the items you allow it to sell, and for monitoring your Agents' activity. RunChatLab is a technology provider and is not a party to your conversations or sales.
Laws and platform rules. You are solely responsible for complying with all laws and regulations that apply to you, to your content and to your fans wherever you and they are located, and with the terms, policies and guidelines of the Supported Platform. We give no legal advice and make no statement that your use of the Service is lawful in any place.
AI disclosure. Some laws, for example Article 50 of the EU AI Act, California's companion chatbot law (SB 243) and similar laws elsewhere, as well as some platform rules, require that people be told when they are communicating with an AI system or when content is AI generated. Where any such rule applies to your messaging, you are solely responsible for giving the required disclosure, in the form and at the time required, for example in your profile, your welcome message or through a Supported Platform feature. You must not remove, hide or contradict a disclosure you are required to give.
Fan consent and fan data. You are responsible for having a lawful basis and any consent the law requires for the processing of your fans' messages and data that the Service performs for you, and for your own privacy notice to fans.
Prices, sales and refunds to fans. You set or approve the prices of everything sold from your account and you alone are responsible for what you sell, for delivering it, and for any refund, chargeback, complaint or dispute with a fan or the Supported Platform.
Safety reviews. When the Service holds a conversation for your review (for example a possible minor or a payment reversal), you must review it honestly before releasing it. You must never release a hold on a fan you have reason to believe is under 18.
6. Your content, your gallery and the licence you give us
In shortYour content stays yours, and you promise you have every right to it and that everyone shown in it is an adult who consented. You let us use it only to run the Service.
Your Content means everything you provide or make available to the Service: your persona settings, instructions, gallery items and their descriptions, voice notes, and the conversations on your Supported Platform account. As between you and us, you own Your Content, and messages an Agent writes for you belong to you to the extent the law allows.
Your promises. You represent and warrant, and remain responsible for, the following:
- you own or have all rights, licences and permissions needed for Your Content and for us to use it as these Terms describe;
- every person depicted in or whose voice is used in your gallery or Your Content was at least 18 years old when it was created, gave informed consent to being recorded and to the content being sold, and can be identified by you;
- you keep all age and consent records that the law requires for that content, and will provide them to us or to an authority on request;
- voice notes are your own voice or used with the speaker's written permission, and nothing impersonates a real person without consent;
- Your Content does not infringe anyone's rights and is lawful where you and your fans are.
Licence to us. You grant us a worldwide, non exclusive, royalty free licence to host, copy, process, transmit and display Your Content as needed to operate, secure, support and improve the Service, including sending it to the providers listed in our Privacy Policy. We do not sell Your Content or use it to promote the Service without your permission. The licence ends when Your Content is deleted from the Service, except for copies we keep for the periods stated in the Privacy Policy or as the law requires.
Model training. We do not train our own AI models on Your Content or on your fans' messages. Third party AI providers process requests under their own API terms, which may include limited retention for abuse monitoring.
Removal. We may remove or disable any content, or stop an Agent from offering an item, if we believe it breaks these Terms or the law. Copyright complaints can be sent to support@runchatlab.com.
7. Acceptable use
In shortDo not use RunChatLab for anything illegal, anything involving minors or non consensual content, custom content promises, off platform payments, or scams. Do not try to break or copy the Service.
You must not, and must not allow anyone to, use the Service to:
- communicate sexually with, sell to, or target anyone under 18, or upload or process any content involving minors;
- sell, depict or promote non consensual content, content of anyone who did not consent, or any content that is illegal where you or the fan are;
- promise, sell or deliver custom content through an Agent, or promise anything that does not exist;
- arrange meetings in person, move fans to other payment channels, or request or accept payment outside the Supported Platform;
- mislead fans about prices or what they will receive, or exploit a fan who shows signs of crisis or financial distress;
- harass, threaten or defame anyone, or send spam;
- instruct an Agent to break the law, the Supported Platform's rules or these Terms;
- disable, bypass or tamper with the safety checks;
- access the Service by automated means other than those we provide, probe or attack its security, reverse engineer it, or copy it to build a competing product;
- resell or sublicense the Service without our written consent.
We may pause Agents, remove content, suspend or close an account that we believe breaks this section, and report suspected child sexual abuse material or other illegal content to the competent authorities.
8. Processing your fans’ data for you
In shortFor your fans’ messages we act on your instructions, as your processor. You decide to use the Service for them and you answer to them for it.
Where data protection law applies, you are the controller of your fans' personal data and RunChatLab processes it on your behalf as your processor. This section is our data processing agreement with you. We will:
- process fan data only to provide the Service and on your documented instructions, which are these Terms and your settings, unless the law requires otherwise;
- make sure people who can access fan data are bound by confidentiality;
- apply the security measures described in the Privacy Policy;
- use the subprocessors listed in the Privacy Policy, which you authorise in general; we will update that list before adding or replacing one, and you may stop using the Service if you object;
- tell you without undue delay after becoming aware of a personal data breach affecting your fans;
- reasonably help you answer fan requests and meet your legal duties, taking into account what information we hold;
- delete fan data as described in the Privacy Policy when the Service ends or the retention period passes, unless the law requires us to keep it;
- make available, on written request and at most once a year, the information reasonably needed to show that we meet these duties.
We act as an independent controller where we use data for safety, fraud and abuse prevention, billing and legal compliance.
9. Our intellectual property
In shortThe software, the brand and the know how behind RunChatLab are ours. You get a right to use them while your account is active.
We and our licensors own the Service, its software, prompts, model configuration, design and the RunChatLab name and logo. Subject to these Terms, we grant you a limited, non exclusive, non transferable, revocable right to use the Service for your own creator business while your account is active. Feedback you send us may be used freely without obligation to you.
10. Privacy
In shortHow we handle personal data, yours and your fans’, is explained in the Privacy Policy.
Our Privacy Policy explains what personal data we process, why, with which providers, for how long, and the rights people have. It forms part of these Terms.
11. Suspension, disconnecting and closing your account
In shortYou can disconnect or delete your account at any time. We can suspend or close it too. Fees already earned still settle.
You may disconnect the Service from your Supported Platform account at any time in Settings. Disconnecting stops the Agents, ends the revenue share for sales made afterwards, and returns you to the Supported Platform's standard terms. You may also delete your account in Settings. Deleted accounts can be restored for 30 days; after that the data described in the Privacy Policy is permanently deleted.
We may suspend, restrict or close your account, pause any Agent, or stop providing the Service or any part of it, at any time and for any lawful reason, including if you break these Terms, if the law or the Supported Platform requires it, or if your use creates a risk to fans, to others or to RunChatLab. We will give notice where we reasonably can, but we may act immediately, for example where a minor may be at risk. We are not liable to you for any suspension or closure made under this section.
Fees for usage and sales before disconnection or closure remain payable and are settled as described in the section on fees and payment.
12. No warranties
In shortWe provide the tool as it is. AI makes mistakes, and we promise no earnings, results, accuracy or uptime.
The Service is provided "as is" and "as available", with all faults. To the fullest extent permitted by law, RunChatLab disclaims all warranties, express, implied or statutory, including merchantability, fitness for a particular purpose, title, non infringement and any warranty arising from course of dealing.
Without limiting that, we do not warrant or promise:
- any level of earnings, sales, conversion, fan retention or other business result;
- that AI generated messages will be accurate, appropriate, consistent, lawful or suitable for any fan or purpose;
- that the safety checks will detect every minor, crisis or rule breach, or never trigger by mistake;
- that the Service will be uninterrupted, timely, secure or error free, or that data will never be lost;
- anything about the Supported Platform or third party AI and hosting providers.
We are not responsible for failure or delay caused by events beyond our reasonable control, including outages or changes of the Supported Platform, of AI model providers or of hosting providers, internet failures, attacks, natural disasters, pandemics and acts of government.
13. Limitation of liability
In shortIf something goes wrong, the most we will ever owe you is what you paid us in the 3 months before the claim, and we are never liable for indirect losses such as lost profits.
To the fullest extent permitted by law, RunChatLab and its owners, contractors, suppliers and licensors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, earnings, fans, goodwill, data or business opportunity, however caused and under any theory of liability, even if advised of the possibility.
To the fullest extent permitted by law, our total liability for all claims arising out of or relating to the Service or these Terms is limited to the fees you actually paid us in the 3 months before the event giving rise to the claim.
These limits apply even if a remedy fails of its essential purpose. They do not limit liability that the applicable law does not allow to be limited.
14. Indemnity
In shortIf anyone, including a fan, a platform or a regulator, comes after us because of your account, your content, your messages or a rule you broke, you cover it.
You will defend, indemnify and hold harmless RunChatLab and its owners, contractors, suppliers and licensors from and against all claims, demands, investigations, proceedings, fines, penalties, damages, losses, settlements and costs (including reasonable legal fees) arising out of or relating to:
- Your Content, your gallery and anything sold from your account;
- any message sent through your account, whether written by you or generated by an Agent;
- your failure to give any disclosure, obtain any consent or keep any record that the law or the Supported Platform requires;
- your breach of these Terms or of any law or third party right;
- any claim by a fan, by the Supported Platform, or by a regulator or other authority connected with your use of the Service.
We may choose to control the defence of any such matter, and you will cooperate with us. You may not settle any matter that affects RunChatLab without our written consent.
15. Disputes, arbitration and governing law
In shortTalk to us first. If that fails, disputes go to binding individual arbitration, not to court, and not as a class action. Small claims court stays open. State of Delaware, United States law applies.
Informal resolution first. Before starting any formal proceedings, you agree to write to us at support@runchatlab.com describing the dispute and give us 30 days to try to resolve it informally.
Binding arbitration. Any dispute, claim or controversy arising out of or relating to the Service or these Terms, including their formation, scope and validity, will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, before a single arbitrator. The seat of arbitration is Wilmington, Delaware, and hearings may be held by video. Judgment on the award may be entered in any court with jurisdiction.
Class action and jury waiver. You and RunChatLab may bring claims against each other only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. The arbitrator may not consolidate claims of more than one person. You and RunChatLab each waive any right to a jury trial.
Exceptions. Either party may bring an individual claim in small claims court if it qualifies, and either party may seek an injunction in court to protect its intellectual property or stop misuse of the Service.
Opting out. You may opt out of arbitration by emailing support@runchatlab.com within 30 days after you first accept these Terms, stating your name, account email and that you opt out of arbitration. Opting out does not affect any other part of these Terms.
Governing law and courts. These Terms and any dispute are governed by the laws of the State of Delaware, United States, and the Federal Arbitration Act, without regard to conflict of law rules. Any matter not subject to arbitration will be heard exclusively in the state and federal courts located in the State of Delaware, and both parties consent to their jurisdiction. If the class action waiver is found unenforceable for a claim, that claim will be heard in those courts and not in arbitration.
Time limit. To the extent permitted by law, any claim must be brought within 12 months after it arises, or it is permanently barred.
16. Changes to these terms
In shortWe can update these terms. For important changes we give 14 days notice. Using the service after that means you accept them.
We may change these Terms at any time by posting the updated version on this page. For material changes we will give at least 14 days notice by email or in the dashboard, unless a change is required sooner by law or for safety. If you keep using the Service after a change takes effect, you accept the updated Terms. If you do not agree, you must disconnect and stop using the Service.
17. General terms
In shortThese terms, the connection terms and the Privacy Policy are the whole agreement. If one part fails, the rest still stands.
Entire agreement. These Terms, the connection terms you accept before connecting, and the Privacy Policy are the entire agreement between you and RunChatLab about the Service and replace any earlier understanding.
Severability. If any provision is found unenforceable, it will be limited to the minimum extent necessary and the rest of these Terms remain in full effect.
Survival. The sections on fees and payment (for amounts already owed), your responsibility for your messages, your content promises, processing fans' data (until deletion), our intellectual property, no warranties, limitation of liability, indemnity, disputes, and these general terms survive any termination.
Other terms. Not enforcing a right is not a waiver. You may not assign these Terms without our written consent; we may assign them, including in a merger, acquisition or sale of assets. Nothing creates a partnership, agency, joint venture or employment relationship. Headings are for convenience only, and the plain English summaries do not change the legal text. You agree to receive notices electronically, by email to your account address or in the dashboard.
